These Terms of Service ("Terms") govern the use of volticsystems.com and any services Voltic Systems ("Voltic", "we", "us") provides to a client ("Client", "you"). By engaging us, you agree to these Terms.

1. The services we provide

Voltic Systems is a specialist agency for residential HVAC contractors. We currently offer three services:

  • Voltic Web — design and build of a conversion-focused HVAC website. Delivered as static source code, hosted on a free tier (Netlify, Cloudflare Pages, or similar) on accounts owned by you.
  • Voltic Voice — configuration of a 24/7 AI receptionist inside Vapi and Twilio accounts owned by you, integrated with your CRM and calendar. Includes setup, training, QA, and an optional monthly tuning retainer.
  • Voltic Stack — both products together as a single project, integrated.

The exact scope, deliverables, timeline, and price for any engagement are described in a separate Statement of Work (SOW) we sign with you before work begins. The SOW controls if it conflicts with anything below.

2. Customer-owned infrastructure

Voltic does not operate the infrastructure your service runs on. Specifically:

  • You sign up for, and pay, Vapi directly.
  • You sign up for, and pay, Twilio (or your phone provider) directly.
  • You sign up for, and pay, your hosting provider (Netlify, Cloudflare Pages, etc.) directly.
  • Your CRM, calendar, domain registrar, and any other downstream tools remain in your name and on your billing.

We grant ourselves access only with your explicit invitation, only as needed to deliver the engagement, and only for as long as the engagement is active. You can revoke access at any time. If you do, your phone keeps ringing — your service does not depend on Voltic remaining engaged.

3. Fees and payment

Setup fees are one-time and quoted in advance in the SOW. By default they are due 50% on signing and 50% on launch.

Tuning retainers (where applicable) are billed monthly in advance, on the calendar day matching the launch date. They are month-to-month: either party may cancel on 30 days' written notice without cause.

Voltic does not mark up or take a referral commission on Vapi, Twilio, hosting, or any other infrastructure cost. You pay those providers what they charge you, no more.

Late fees: invoices unpaid 14 days past due accrue 1.5% per month or the maximum allowed by law, whichever is lower. We may pause tuning work (but never disable your live system) on accounts that are 30+ days past due.

4. Intellectual property

On full payment of the setup fee for any engagement:

  • You own the website source code we deliver, including the right to modify, host, and use it for your business indefinitely.
  • You own the Vapi agent configuration in your account, including system prompts, tool wirings, and call data.
  • You own all copy and visual assets we produce specifically for you.

Voltic retains ownership of:

  • Generic frameworks, templates, code patterns, and prompt patterns we develop and reuse across clients.
  • The "Voltic Systems" name, logo, and brand.
  • Aggregated, de-identified performance data we use to improve our services.

Voltic may reference the engagement (your company name, anonymized metrics) in marketing materials only with your written permission. Without permission we will describe results without identifying you.

5. Confidentiality

Both parties agree to keep the other's non-public business information confidential, with standard exceptions (information that is or becomes public through no fault of the receiving party, required by law to disclose, etc.). This obligation survives termination for 3 years.

6. Warranties and disclaimers

We warrant that the services we deliver will materially conform to the SOW for 30 days after launch. If something is broken in our work during that window, we will fix it at no additional cost.

Beyond that, the services are provided "as is". We do not warrant that the AI receptionist will handle every call perfectly, that bookings will result in revenue, or that any specific increase in booked jobs will occur. We do warrant that we'll work hard to make the system as good as we can.

7. Limitation of liability

To the fullest extent allowed by law, Voltic's total liability to you for any claim arising out of these Terms or our services is limited to the fees you paid us in the 12 months preceding the claim.

Neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption — except for breaches of confidentiality, IP infringement, or gross negligence.

8. Indemnification

Each party will defend the other against third-party claims caused by its own gross negligence, willful misconduct, or breach of these Terms. You will additionally defend us against claims arising from content you provided (e.g. inaccurate service descriptions, missing TCPA consent for SMS recipients).

9. TCPA and call recording

Voltic Voice may record calls and may send SMS messages on your behalf. You are responsible for:

  • Disclosing call recording to callers as required by your state's law (one-party vs. two-party consent).
  • Obtaining express written consent for SMS marketing under the TCPA, including A2P 10DLC registration with Twilio where required.
  • Honoring opt-outs and "STOP" replies.

We will configure the system to support these obligations (recording disclosure scripts, opt-out keywords, etc.), but ultimate compliance is yours. We are not a law firm and do not provide legal advice.

10. Termination

Either party may terminate any tuning retainer on 30 days' written notice. On termination:

  • You retain everything we've delivered up to that point.
  • You retain access to your Vapi, Twilio, hosting, and CRM accounts (we never had control of them).
  • Your phone keeps answering. Your website keeps loading. We just stop tuning.

Either party may also terminate immediately for material breach uncured 14 days after written notice.

11. Disputes and governing law

These Terms are governed by the laws of [YOUR JURISDICTION], without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes informally. If that fails, either party may bring the dispute in the courts of [YOUR VENUE].

Lawyer to fill in: The bracketed jurisdiction and venue should reflect where Voltic Systems is incorporated and operates. Some agencies prefer arbitration clauses; that's a jurisdictional decision your lawyer should make.

12. General

These Terms (together with any signed SOW) are the entire agreement between the parties on this subject. They override any prior emails or proposals. They can only be modified in writing signed by both parties.

If any provision is unenforceable, the rest remains in effect. A waiver of one breach doesn't waive future breaches. Neither party may assign these Terms without the other's consent, except in a merger, acquisition, or sale of substantially all assets.
